Accepting, Changing, and Using the Service

Accepting These Terms

By accessing or using the Minute Media website, mobile applications, or any related products or services (collectively, the “Service”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree, do not use the Service. Additional service-specific terms may apply and will take precedence over these Terms in the event of any conflict.

Changes and Amendments to Terms

Minute Media reserves the right to modify these Terms at any time at its sole discretion. You are responsible for periodically reviewing these Terms. Continued use of the Service following any changes constitutes your acceptance of the revised Terms. If you disagree with any changes, your sole remedy is to discontinue use of the Service.

Privacy Policy

Our Privacy Policy is incorporated into and forms part of these Terms. By using the Service, you acknowledge and agree to our Privacy Policy, available at minutemedia.com/policies/privacy-policy. Your use of the Service is conditional on your acceptance of the Privacy Policy.

Limitation on Use

  • Age Requirement: You must be at least 18 years of age, or the age of majority in your jurisdiction, to use the Service. Betting and gambling content is restricted to users aged 21 or older, or the applicable legal gambling age in your jurisdiction. Minute Media encourages responsible gambling; if you need help, call 1-800-GAMBLER.

  • Commercial Use: Commercial use of the Service is prohibited without Minute Media’s explicit prior written consent.

The following uses of the Service are strictly prohibited:

  • Infringing any third-party intellectual property, privacy, or other rights

  • Engaging in illegal activities including fraud, trafficking, drug dealing, or unlicensed gambling

  • Distributing SPAM or using contact information for unauthorized marketing

  • Bullying, intimidating, stalking, or harassing others

  • Duplicating, downloading, copying, framing, or mirroring any part of the Service without consent

  • Reverse engineering or decompiling any source code

  • Using automated tools (bots, crawlers, spiders) to gather information from the Service

  • Uploading malware, spyware, or other harmful code

  • Circumventing or bypassing any access controls

  • Damaging or impairing the Service or its infrastructure

  • Using the Service to engage in competitive activity against Minute Media

Securing Your Password

You are solely responsible for maintaining the confidentiality of your password and for restricting access to your computer or device. You are liable for all activity that occurs under your account. You must immediately report any unauthorized use of your account to helpdesk@minutemedia.com. Minute Media employees will never request your password.

You must provide accurate and complete registration information. Usernames must not impersonate any person or entity. You may not transfer your account to any third party without Minute Media’s prior written permission.

Termination, Changes to the Service and Removal of Content

Minute Media may terminate or suspend your access to the Service at any time, for any reason or no reason, without notice and without liability. Minute Media retains the right to remove or modify any feature, content, or aspect of the Service at any time without liability. Minute Media has no obligation to store, distribute, update, or correct any uploaded information. Termination of your account will result in destruction of all associated content.

Termination Note

Minute Media may terminate access immediately, without notice, for any reason. Users have no recourse against termination decisions.

Part 2 — Content & Intellectual Property

User Content, Takedown, IP Rights

§7 through §11

Content Creator Terms

License to User Content

By uploading any content to the Service (“User Content”), you warrant that you own or hold all rights necessary to grant the following license. You grant Minute Media a worldwide, unlimited, non-revocable, royalty-free, sub-licensable, and transferable license to use your User Content in any way Minute Media sees fit, including without limitation to store, reproduce, adapt, publish, distribute, display, and create derivative works.

You receive no compensation for User Content unless separately agreed to in writing. You expressly waive all moral and attribution rights in User Content to the fullest extent permitted by law. User Content may be included in outgoing feeds to third parties. User Content must comply with the terms of Twitter, Instagram, YouTube, and Facebook where applicable.

Prohibited User Content

User Content must not include:

  • Content that encourages violence

  • Content that infringes any third-party intellectual property rights

  • SPAM or chain mail

  • Content that infringes privacy or publicity rights

  • Confidential or proprietary information

  • Defamatory, fraudulent, libelous, abusive, obscene, unlawful, threatening, hateful, harassing, racially discriminatory, sexist, or otherwise inappropriate content

  • Third-party advertising or commercial content (without express consent)

  • Impersonation of any person or entity without clear disclosure

  • Malware or harmful code

  • Content that interferes with the Service

Content Moderation Rights

Minute Media reserves the right to remove content it determines to be infringing, edit User Content without notice, and terminate access for repeat infringers. Minute Media has no obligation to post, transmit, distribute, or publish any User Content. Contributors with specific agreements may be subject to additional terms taking precedence in the event of inconsistency.

Videos and Closed Captioning Notice

If you require a closed-captioned version of a Minute Media-produced video that does not currently have captions, please send your request to helpdesk@minutemedia.com. Minute Media commits to providing the closed-captioned version within no more than 5 business days of receipt of the request.

Notice and Takedown Policy

Minute Media is committed to compliance with applicable copyright law and the Digital Millennium Copyright Act (DMCA). Minute Media reserves the right to block or remove content believed to infringe copyright, and to terminate service for repeat infringers.

Required Elements of a Notice

A valid infringement notice must include:

  • The identity (including registration/identification number) of the notifier

  • The identity of the alleged copyright violator (username/name, if known)

  • Date of notification

  • Physical or electronic signature of a person authorized to act on behalf of the rights owner

  • Identification of the copyrighted work(s) claimed to have been infringed

  • Identification of the alleged infringing content with location details (screenshots and direct links)

  • Contact information of the notifier (email, physical address, website/URL, jurisdiction)

  • Good faith belief statement that use of the content lacks authorization

  • Statement made under penalty of perjury confirming accuracy and authorization

Counter-Notice

A counter-notice must include:

  • Physical or electronic signature of the content provider

  • Identification of the removed content and its previous location (screenshots and links)

  • Good faith belief statement that removal was unjustified or resulted from mistake

  • Content provider’s name, physical address, and email address

Upon receipt of a valid counter-notice, Minute Media will notify the original complainant and may reinstate the content within 10 business days unless the copyright owner files court action.

Cross Platform Publication

By using the Service, you agree that Minute Media may display your User Content anywhere on the Service and across platforms (“Cross Platform Publication”) without notification or additional compensation. Minute Media may post information about your Service usage on its social media profiles, including User Content, statuses, comments, and content you have viewed.

Intellectual Property Rights; Affiliations

Ownership

Minute Media and its affiliates retain all intellectual property rights in the Service and its content, including copyrights, trademarks, service marks, trade secrets, patents, and software. You acquire no intellectual property rights through use of the Service. Any transfer of rights requires explicit prior written consent from Minute Media.

Feedback License

Any feedback, suggestions, or ideas you provide to Minute Media are granted under an exclusive, royalty-free, fully paid-up, worldwide, perpetual, irrevocable, unlimited, sub-licensable, and transferable license. Feedback is deemed non-confidential. You warrant that any feedback you submit contains no conflicting license terms.

Third-Party Affiliations

The Service is not the official website for any third parties mentioned in its content and is generally not sponsored or endorsed by such third parties (excluding affiliate campaigns, affiliate links, sponsored advertisements, and athlete-contributed content). All third-party intellectual property belongs to the respective owners.

The Service features links to third-party products and services via business partners (including Skimlinks and similar services, “3rd Party Affiliates”). Minute Media may earn a commission when you click an affiliate link and/or make a purchase. You should assume that clicking any such link may result in commission earnings by Minute Media.

Part 3 — Commercial & Third Parties

Marketing, Third-Party Sites, and the Minute Media Shop

§12 through §14

Newsletters, Direct Marketing and Notifications

By providing your email address during newsletter signup or account registration, you authorize Minute Media to use it to send commercial and non-commercial materials, product deals, promotions, marketing messages, and targeted advertisements.

To withdraw consent, send a written request to dpo@minutemedia.com or follow the unsubscribe instructions in any marketing message. Minute Media may also send push notifications and alerts via various communication channels; these can be deactivated through your web browser or device notification settings.

Third Party Sites

The Service may contain third-party advertisements, content, products, tools, and links (“Third Party Material”). Minute Media has no control over and accepts no responsibility for third-party websites, their content, policies, practices, or data collection. These Terms apply only to your use of the Minute Media Service.

Accessing third-party sites via the Service is entirely at your own risk. Minute Media is not responsible for any damages, claims, or liability arising from your use of third-party sites. All Third-Party Material is provided “as is” and “as available” without warranties, representations, or conditions of any kind.

shop.mentalfloss.com and deals.fansided.com are owned and operated by StackCommerce, not Minute Media. Minute Media accepts no responsibility for these sites.

The Minute Media Shop — Additional Terms

General

The Minute Media Shop (shop.minutemedia.com, swag.fansided.com, shop.theplayerstribune.com) is hosted by Shopify Inc. and operated by Minute Media as a Shopify service. Use of the Shop and purchase of products are subject to Shopify’s Terms of Service, Privacy Policy, and Cookie Policy (available at shopify.com/legal).

Shop account data is hosted by Shopify; information may be transferred to Shopify and its service providers, potentially unencrypted, and may be adapted during transmission. Credit card information is encrypted by Shopify during transfer. Prices are subject to change without notice. Minute Media is not liable for price modifications, suspensions, or discontinuation of products.

Orders & Sales Limitations

Minute Media reserves the right to limit sales to any person, geographic region, or jurisdiction on a case-by-case basis. Product quantities may be limited. Minute Media reserves the right to refuse any order and to limit quantities per person, household, or order (including same account, credit card, or billing/shipping address). Orders appearing to be placed by dealers, resellers, or distributors may be restricted or refused.

Return Policy

  • Return Window: 30 days from purchase date. Items must be unused, in original condition and packaging, with receipt or proof of purchase. Refunds or exchanges are not available after 30 days.

  • Return Shipping: Customer is responsible for return shipping costs (non-refundable). Return shipping cost will be deducted from the refund. Items over US$75 should use a trackable shipping service or shipping insurance.

  • Refund Process: Upon receipt and inspection of the returned item, Minute Media will notify you by email of the approval or rejection of your refund. Approved refunds are credited to your original payment method within a specified number of days. Gift cards are non-refundable.

Disconnecting from the Service

Disclaimers

The Service is provided “AS-IS” and “AS-AVAILABLE” at your own risk. Minute Media expressly disclaims all warranties, guarantees, and representations of any kind, including implied warranties of merchantability, fitness for a particular purpose, and any promise of a specific result.

Minute Media makes no warranty as to the availability, continuity, accuracy, error-freedom, completeness, reliability, security, or copyright compliance of the Service or its content. Any reliance on the Service, its content, or User Content from other users is at your own risk.

Articles and betting/gambling information published on the Service are provided for informational and educational purposes only. They do not constitute personalized advice and are not intended to influence contest decisions. Content reflects writers’ opinions and may contain errors. Users are solely responsible for their own decisions and contest choices.

Limitation on Warranties

To the fullest extent permitted by applicable law, Minute Media does not warrant, endorse, guarantee, or assume responsibility for any third-party products, services, or content, including advertisers or other users, even if accessed or offered through the Service.

Downloading material from the Service is not permitted and is entirely at your own risk. Minute Media is not responsible for any damage to your computer or loss of data resulting from any download.

YOU ACKNOWLEDGE AND AGREE THAT YOU ARE SOLELY RESPONSIBLE FOR YOUR USE OF THE SERVICE. MINUTE MEDIA, ITS AFFILIATES, SUPPLIERS, EMPLOYEES, OFFICERS, REPRESENTATIVES, AND THIRD-PARTY CONTENT PROVIDERS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, EXEMPLARY, STATUTORY, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR OTHER DAMAGES, LOSS, OR INJURIES SUFFERED BY YOU OR ANY THIRD PARTY.

Liability Cap

If any liability limitation is deemed invalid under applicable law, Minute Media’s total aggregate liability (and that of its affiliates, officers, employees, directors, contractors, agents, and service providers) is limited to the greater of: (a) US$100; or (b) the total amounts you paid to Minute Media in the preceding 6 months. Statute of limitations: Claims must be brought within one (1) year of the cause of action accruing, or they are permanently barred. Class action waiver: You waive any right to participate in a class action lawsuit regarding the Service.

Indemnification

You agree to indemnify, defend, and hold harmless Minute Media, its affiliates, officers, employees, directors, contractors, agents, and service providers from and against any losses, liabilities, expenses, and damages (including reasonable attorneys’ fees) arising from your use of the Service or your violation of these Terms.

Minute Media reserves the right to assume exclusive defense and control of any matter subject to indemnification, without relieving you of your indemnification obligations. You must fully cooperate with Minute Media in asserting any available defenses. You may not settle any indemnified claim without Minute Media’s express prior written approval.

Governing Law; Jurisdiction

These Terms, Minute Media’s relationship with you, and any related disputes are exclusively governed by Israeli law, without regard to its conflict of law provisions. The courts of Tel Aviv, Israel have sole and exclusive jurisdiction over any disputes arising out of or in connection with these Terms or your use of the Service.

General

  • Independent Contractor: You are not an employee, agent, partner, or joint venturer of Minute Media, and you have no authority to bind Minute Media in any respect.

  • Assignment: Minute Media may assign its rights under these Terms to any third party at its sole discretion. You may not assign your account or rights without prior written consent from Minute Media.

  • Taxes: You are responsible for all taxes, duties, and governmental assessments associated with your Service activity. Minute Media may perform such obligations on your behalf or for itself at its sole discretion.

  • Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions continue in full force and effect.

  • No Waiver: Failure by Minute Media to assert any right or provision under these Terms does not constitute a waiver of that right or provision.

  • Electronic Communications: You consent to receive electronic communications from Minute Media, including promotional materials. Email, posted notices, and in-Service message displays satisfy any requirement for written communications.

  • Surviving Provisions: The following sections survive termination or expiration: Intellectual Property Rights (§11), Disclaimers (§16), Indemnification (§18), Governing Law (§19), General (§21), and any licenses granted under these Terms.
